Negotiating and Structuring Solid Shareholder Agreements
A Shareholders Agreement is a written agreement between the shareholders or partners of a business. It covers the funding, structure, management and direction of the business and outlines the responsibilities and obligations of the business owners.
While the Corporations Act does not require companies to have a Shareholders Agreement, having one can be beneficial for setting ground rules about issues that affect shareholders, such as one shareholder deciding to sell their share later, where the conditions for doing so, have already been worked out in a signed Shareholder Agreement. The preferred agreements are those that have clear drafting and operate to resolve issues quickly with certainty and finality.
In his presentation, Ivan will discuss the major issues affecting shareholders and how these can be incorporated into a strong Shareholders Agreement to reduce the potential for conflict down the track.
Ivan is the Principal at Oshry Lawyers in Sydney. He is a senior M&A lawyer with a wide ranging corporate advisory experience and experience in dealing with local and international corporate commercial matters. Ivan specialises in the laws around corporate governance, mergers & acquisitions, private equity funding and international tax matters. He also advises on business strategy and on matters relating to the use of Cryptocurrency and security token fundraising. Ivan has degrees from the University of Natal and the University of Witwatersrand in South Africa.
A light lunch will be served at 1pm and a cash bar will be operating. The presentation will commence at 1:30pm. Gentlemen are required to wear suit and tie, with ladies required to dress accordingly, (dress or slack suit).
